These Terms & Conditions (the “Terms”) form a binding agreement between you and HubLink (“HubLink”, “we”, “our” or “us”) governing your access to and use of the HubLink website, applications, participation platform, dashboards, documentation and related technology services (collectively, the “Services”).

By accessing the Services, creating an account, purchasing an Hx1 Home-Station, or activating a Node Telemetry License, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not agree, you must not use the Services.

The Services are intended for individuals who are at least the age of majority in their jurisdiction and legally capable of entering into a binding contract. By using the Services, you represent that you meet these requirements and that your use complies with all laws and regulations applicable to you.

HubLink may restrict or decline access from certain jurisdictions where the Services are not offered, or where local law would make the offering unlawful. You are responsible for confirming that your participation is permitted where you live.

Some features of the Services require an account. When you register, you agree to provide accurate, current and complete information and to keep that information up to date.

You are responsible for all activity that occurs under your account. You may not share your account, transfer it to another person, or create an account on behalf of someone else without authorization.

You are responsible for maintaining the confidentiality of your credentials, including passwords, recovery phrases and any two-factor authentication methods you enable. You agree to notify us promptly if you suspect unauthorized access to your account.

HubLink is not liable for losses arising from your failure to keep your credentials secure. Where offered, we strongly recommend that you enable all available security features.

The HubLink website is provided for informational and operational purposes related to the Services. Content on the site is offered on an “as available” basis and may be updated, corrected or removed without notice.

Unless expressly stated otherwise, information published on the website does not constitute financial, legal, tax or investment advice, and should not be relied on as such.

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Interfere with, disrupt, overload or attempt to gain unauthorized access to the Services, our infrastructure or other users' accounts;
• Reverse engineer, decompile or attempt to extract source code from our software, except to the extent expressly permitted by law;
• Use the Services to distribute malware, phishing content, spam or other harmful material;
• Misrepresent your identity, impersonate others or provide false information;
• Use the Services in a way that could damage, disable or impair the HubLink network or third-party systems.

When you purchase an Hx1 Home-Station, a Node Telemetry License, or any other item through the Services, the applicable price, taxes, shipping fees and delivery terms are shown at checkout.

Purchases are subject to availability. We may cancel or refuse an order in cases of suspected fraud, pricing errors, sanctions restrictions or where required by law. Refunds, returns and cancellations follow the terms disclosed at the point of purchase and applicable consumer law.

The Hx1 Home-Station is a piece of consumer hardware that allows you to contribute connectivity and operational telemetry to the HubLink distributed infrastructure platform.

You are responsible for installing, powering and maintaining your Hx1 in accordance with the provided documentation and any local regulations regarding electrical safety, radio equipment and residential use. Coverage, uptime and network performance may vary based on your environment, internet connection and other factors outside our control.

Node Telemetry Licenses are utility-based participation rights that grant the holder the ability to contribute to and participate in designated activities within the HubLink network. They are not securities, investment contracts or financial instruments, and they do not represent equity, debt or any claim on the profits of HubLink.

Participation is voluntary and does not guarantee rewards, income or any specific outcome. The design, mechanics and reward structure of the network may evolve over time, and HubLink may adjust parameters as needed to keep the platform operating fairly and sustainably.

All intellectual property in the Services — including software, firmware, designs, documentation, trademarks, logos, and brand assets — belongs to HubLink or its licensors. Nothing in these Terms transfers ownership of that intellectual property to you.

Subject to your compliance with these Terms, HubLink grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, sublicense or create derivative works from the Services without our written consent, except as permitted by law.

HubLink may release updates, patches or new versions of the software running on the Hx1 or associated services. These updates may include bug fixes, security improvements, performance enhancements and new features.

For network integrity and security, some updates may be installed automatically. You agree to keep your Hx1 connected and to allow these updates to run so your device remains supported.

The Services may interoperate with, or link to, third-party products, services or websites. HubLink does not control these third parties and is not responsible for their content, policies or practices.

Your use of any third-party service is governed by the terms and privacy policy of the provider. We encourage you to review them before engaging with any third-party integration.

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

HubLink does not warrant that the Services will meet your requirements, that any defects will be corrected, or that any particular level of network performance, uptime or rewards will be achieved.

To the maximum extent permitted by law, HubLink, its affiliates and their respective directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Services or these Terms.

Our total aggregate liability for direct damages arising out of or related to the Services is limited to the amount you paid to HubLink in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred euros (EUR 100), whichever is greater. Nothing in these Terms excludes liability that cannot be excluded by applicable law.

You agree to indemnify and hold harmless HubLink, its affiliates and their respective personnel from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

HubLink may suspend or terminate your access to the Services, in whole or in part, if we reasonably believe that you have breached these Terms, that your account has been compromised, that continued access would create legal or security risk, or as otherwise required by law.

You may stop using the Services at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnities and dispute resolution — will remain in effect after termination.

These Terms are governed by the laws of the jurisdiction in which HubLink is established, without regard to its conflict of law principles. Mandatory consumer protection rules of your country of residence continue to apply where applicable.

Unless otherwise required by law, any disputes arising out of or in connection with these Terms will be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction.

We may update these Terms from time to time to reflect changes to the Services, our business or applicable law. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you through the Services.

Your continued use of the Services after the updated Terms take effect constitutes acceptance of the changes. If you do not agree, you should stop using the Services.
